LURXI Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of LURXI, an agentic AI deployment platform operated by Echuku (“Echuku”, “Company”, “we”, “us”, or “our”). By accessing or using LURXI, you (“User”, “Customer”, or “you”) agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using LURXI, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy.

Enterprise customers may be subject to separate written agreements, which shall prevail over these Terms in the event of a conflict.

2. Eligibility & Account Registration

You must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction.

  • Have the legal authority to enter into binding agreements.

  • Provide accurate, complete, and up-to-date registration information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

3. Description of Services

LURXI is a subscription-based Software-as-a-Service (SaaS) platform that enables users to deploy, configure, manage, and operate AI agents for automation, content generation, workflows, analytics, and business operations.

We reserve the right to modify, enhance, or discontinue features at our discretion.

4. Subscription Plans & Billing

Access to LURXI is provided on a subscription basis.

  • Subscription tiers and pricing are published on the official LURXI platform.

  • Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal.

  • Enterprise subscriptions may be governed by custom agreements.

Echuku reserves the right to modify pricing upon reasonable notice. Continued use of the Services after pricing changes constitutes acceptance.

5. Payments, Renewals & Refund Policy

  • All fees are payable in advance.

  • Failure to make timely payment may result in suspension or termination of Services.

  • Automatic renewal applies unless cancelled before the renewal date.

  • Refunds are not guaranteed except where required by applicable law.

  • Taxes, duties, or regulatory charges are the responsibility of the User where applicable.

6. User Responsibilities

Users agree to:

  • Use LURXI lawfully and responsibly.

  • Ensure AI agents are configured ethically and legally.

  • Review AI outputs before relying on them.

  • Maintain compliance with all applicable laws and regulations.

Users are solely responsible for how they deploy and utilize AI agents on the platform.

7. Acceptable Use Policy

You may use LURXI only for lawful purposes. You agree not to:

  • Engage in illegal, fraudulent, or deceptive conduct.

  • Deploy AI agents for harassment, abuse, or harmful activities.

  • Use the platform to generate unlawful or infringing content.

  • Attempt to bypass security controls or platform safeguards.

  • Reverse engineer, copy, or exploit the platform infrastructure.

8. Prohibited Activities

Prohibited activities include but are not limited to:

  • Spreading misinformation or impersonation.

  • Generating malicious code or cyberattack tools.

  • Violating intellectual property rights.

  • Exploiting vulnerabilities.

  • Using LURXI to provide unauthorized professional services (legal, medical, financial advice without proper licensing).

Violation may result in immediate termination.

9. AI-Specific Usage Terms

LURXI operates AI agents based on user-provided inputs and configurations.

  • AI outputs may contain inaccuracies, incomplete information, or errors.

  • Echuku makes no guarantee regarding the accuracy, reliability, or fitness of AI-generated outputs.

  • Users are solely responsible for verifying outputs before use.

  • AI agents do not provide professional advice.

  • Users must not rely on AI outputs for legal, financial, medical, or other regulated decisions without independent professional review.

10. Intellectual Property Rights

All rights, title, and interest in the LURXI platform, including software, architecture, branding, and system improvements, remain the exclusive property of Echuku.

Users are granted a limited, non-exclusive, non-transferable license to use the Services during an active subscription.

Users retain ownership of their submitted content and AI prompts. However, users grant Echuku a limited license to process such content solely to provide and improve the Services.

Platform enhancements and derivative improvements remain the property of Echuku.

11. User-Generated Content

Users are solely responsible for content submitted, uploaded, or generated through LURXI.

Echuku does not claim ownership of user content but reserves the right to remove content that violates these Terms or applicable laws.

12. Data Processing & Privacy Reference

All data processing is governed by the LURXI Privacy Policy.

By using the platform, you consent to data processing practices described therein.

13. Third-Party Services & Integrations

LURXI may integrate with third-party services such as cloud providers, analytics platforms, payment processors, and authentication services.

Echuku is not responsible for third-party services’ independent policies or actions.

14. Service Availability & Modifications

We aim to maintain reliable service availability but do not guarantee uninterrupted access.

We reserve the right to:

  • Modify features

  • Conduct maintenance

  • Suspend services temporarily

  • Upgrade infrastructure

15. Suspension & Termination

Echuku may suspend or terminate access if:

  • Payment obligations are not met.

  • There is unlawful or abusive usage.

  • Security risks are identified.

  • These Terms are violated.

Serious violations may result in immediate termination without notice.

Upon termination:

  • Access rights cease immediately.

  • Data may be deleted after a reasonable retention period, subject to legal obligations.

16. Disclaimers

The Services are provided “as is” and “as available.”

Echuku disclaims all warranties, express or implied, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy of AI outputs

AI-generated outputs are probabilistic in nature and may contain inaccuracies.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Echuku’s total liability shall not exceed the total amount paid by the User in the twelve (12) months preceding the claim.

  • Echuku shall not be liable for indirect, incidental, consequential, punitive, or special damages.

  • No liability for data loss, business interruption, or reputational harm.

Force majeure events (including natural disasters, government actions, or network disruptions) shall not result in liability.

18. Indemnification

You agree to indemnify and hold harmless Echuku from any claims, damages, liabilities, or expenses arising from:

  • Your misuse of the platform

  • Violation of these Terms

  • Violation of applicable laws

  • Deployment of harmful AI agents

19. Confidentiality

Each party agrees to protect confidential information disclosed in connection with the Services.

Confidential information shall not be disclosed without prior written consent unless required by law.

20. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

Parties agree to attempt good-faith negotiation before initiating legal action.

Where disputes cannot be resolved amicably, they shall be subject to the jurisdiction of the Courts of Nigeria unless otherwise agreed in writing.

Optional arbitration may be mutually agreed upon.

21. NDPR & Nigerian Regulatory Considerations

LURXI complies with the Nigeria Data Protection Regulation (NDPR).

We recognize the Nigeria Data Protection Commission (NDPC) as the regulatory authority.

Data protection practices are governed by our Privacy Policy.

Users in Nigeria retain rights under NDPR, including access, rectification, and erasure rights.

22. Amendments to Terms

Echuku reserves the right to amend these Terms at any time.

Material changes will be communicated via:

  • Platform notification

  • Email communication

  • Website publication

Continued use after updates constitutes acceptance.
